Non-Exclusive Beat Lease Agreement (Final – California Law)
The Purchase of the Track is an Agreement of the Following Rules.
This Agreement is made on date of purchase between:

Producer: [Kazama], (“Licensor”)

Artist/Licensee: [Artist], (“Licensee”)
1. Grant of License
Licensor grants Licensee a non-exclusive, non-transferable license to use the beat titled “[dont f# minor 157 bpm]”(the “Beat”) in the creation of one new song or musical composition (“the Track”).
2. Rights Granted

Licensee may:
-
Record vocals or instruments over the Beat.
-
Release the Track on all major platforms (Spotify, Apple Music, YouTube, etc.).

Perform the Track live.
-
-
Usage Limits :
-
Up to 100,000 streams across platforms.
-
Up to 1 music video.
-
Up to 1,000 physical copies.

3. Royalty Splits & PRO Registration

Licensor and Licensee agree to a 50/50 split of publishing royalties generated by the Track.

Performance royalties shall also be split 50/50, collected through their respective PROs (e.g., ASCAP, BMI, SESAC, SOCAN, PRS, etc.). IPI:01307119287

Both parties agree to register the Track with their respective PROs within a reasonable timeframe to ensure proper royalty collection.
4. Restrictions

Licensee may not sell, transfer, or sublicense the Beat.

The Beat may not be used for TV, film, or commercial sync placements without Licensor’s written approval.
5. Ownership

Licensor retains full ownership of the Beat and all copyrights.

This is a license only; no ownership is transferred.
6. Credit
Licensee must credit Licensor in all releases as:
“Produced by [Kazama]”
7. Payment
-
Licensee pays Licensor [$29.95] for this license.
-
Payment is non-refundable.
8. Termination
This license automatically terminates if usage limits are exceeded. Continued use requires an upgrade to an Exclusive Rights Agreement.
9. Indemnification Clause
Licensee shall indemnify and hold harmless Licensor from any claims, damages, or expenses arising out of Licensee’s use of the Beat, including but not limited to lyrics or other content added to the Track.
10. Sample Clearance Clause
- The Artist acknowledges that the Beat may contain samples of third-party copyrighted material.
- The Artist agrees to obtain all necessary clearances, licenses, and permissions to use such samples.
- The Artist is solely responsible for any claims, liabilities, or legal actions arising from the use of unapproved samples.
- The Licensor shall bear no responsibility or liability in connection with sample clearance.
- The Beat includes the following samples: (Rivaside Clique "Flow On")
11. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of California. The parties agree that any disputes arising under this Agreement shall be brought exclusively in the state or federal courts located in United States, California, and both parties consent to the jurisdiction of such courts.

1. Grant of Rights
Seller grants Buyer exclusive, unlimited rights to the beat titled “[dont f# minor 157 bpm]” (the “Beat”).
2. Rights Granted
Buyer may:

Modify, record, distribute, and commercially exploit the Beat.

Release unlimited copies/streams.
-
Use the Beat in live performances, music videos, TV, film, advertising, and all media.
3. Ownership, Publishing & PRO Registration
-
Buyer obtains exclusive master rights to the Track.
-
Seller retains songwriter/composer credit.
-
Publishing and performance royalties shall be split 50/50 between Buyer and Seller.

Both parties agree to register the Track with their respective PROs (e.g., ASCAP, BMI, SESAC, SOCAN, PRS, etc.) within a reasonable timeframe to ensure proper royalty collection. IPI:01307119287

Copyright is transferred to Buyer upon full payment.
4. Credit
Buyer shall credit Seller in all uses as:
“Produced by [Kazama]”
5. Payment

Buyer pays Seller [$100/$150] for full exclusive rights.

Payment is non-refundable.
6. Warranties

Buyer agrees not to resell or redistribute the Beat as an instrumental.
